Disclaimer

RED LINE is not a law firm and does not provide legal advice. Audit findings are operational assessments, not legal opinions. Clients are responsible for engaging qualified securities counsel.

This page states the boundaries of the service in full. It is incorporated into the Terms of Service and applies to every output the service produces, including findings, reports, suggested redlines, severity ratings, deadlines, and workflow prompts.

01

Informational purposes only

Every output of RED LINE is provided for informational and workflow-support purposes only. Outputs are not legal advice, legal opinions, or legal determinations, and confer no legal rights, protections, or safe harbors. Outputs must not be relied upon as the basis for any decision, filing, communication, or remediation. The service identifies items for qualified counsel to evaluate. It does not resolve them.

02

Not legal advice

Nothing produced by the service is legal advice. Findings, citations, and suggested redlines are generated by software applying configured audit modules to the materials you submitted. A citation to a statute, rule, release, or enforcement action is a pointer for counsel review, not a legal conclusion about your facts.

03

No attorney-client or professional relationship

Use of the service does not create an attorney-client relationship, an accountant-client relationship, a fiduciary relationship, or any other professional-client relationship with RED LINE or with any person involved in building or operating it. Inviting your own counsel into an audit creates a relationship between you and your counsel, not between anyone and RED LINE.

04

Not accounting, tax, audit, or investment advice

The service does not provide accounting, tax, audit, valuation, or investment advice, and is not a registered investment adviser, broker-dealer, accounting firm, auditor, or custodian. Outputs that touch financial statements, fees, performance, or tax characterizations are operational observations for professional review.

05

AI-assisted outputs can be wrong

The service uses large language models and rule-based logic. Machine-generated analysis can be incomplete or incorrect in ways that appear plausible. It can misread documents, miss issues, misstate or misattribute citations, and produce different results on identical inputs. No output is reviewed by a lawyer, accountant, or compliance professional before delivery.

06

No guarantee of regulatory outcome

No output is a prediction or guarantee of any regulatory outcome. The service does not warrant that an audit will identify every issue, satisfy any regulator, prevent examination or enforcement, preserve an exemption, or satisfy investor diligence. Regulators and courts decide regulatory outcomes. Software does not.

07

Counsel review required

Every output must be reviewed by qualified securities counsel before it is used, relied on, filed, distributed, adopted, or acted on in any way. Acting on an output without counsel review is contrary to the Terms of Service and is at your sole risk.

08

Assumption of risk

You assume all risk arising from use of the service and its outputs, to the maximum extent permitted by law. The Terms of Service, including its disclaimers, limitation of liability, and dispute resolution sections, govern use of the service. If this page and the Terms of Service conflict, the Terms of Service control.
